Terms of Service

The short version

TeeBox is a peer-to-peer marketplace for golf gear. By using TeeBox you agree to act honestly, follow our Acceptable Use Policy, and resolve disputes by binding individual arbitration in Cook County, Illinois. You can opt out of arbitration within 30 days of creating your account.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and TeeBox, Inc. ("TeeBox", "we", "us") and govern your access to and use of the TeeBox website, mobile applications, and related services (the "Service"). By creating an account, listing an item, placing an order, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Refund and Returns Policy, each of which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use TeeBox. By using the Service you represent and warrant that you meet these requirements and that you have the legal capacity to enter into a binding contract. TeeBox is not directed to children, and accounts identified as belonging to minors will be terminated.

3. Account Registration

You agree to provide accurate, current, and complete information when you create your account and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You agree to notify us immediately at support@teeboxmarket.com of any unauthorized use. One account per person; shared accounts are prohibited.

TeeBox is a venue. We are not a party to transactions between buyers and sellers; we facilitate listing, communication, payment processing, and dispute mediation only.

5. Fees and Payouts

TeeBox charges a marketplace fee on completed sales:

Payments are processed by Stripe through Stripe Connect. To receive payouts, sellers must complete Stripe's identity verification ("KYC") and provide a U.S. bank account. Payouts are typically released 2 business days after the buyer confirms delivery or the buyer-protection window closes, whichever is sooner. TeeBox does not hold seller funds beyond what is required to process the transaction and any pending dispute. Pro Seller subscriptions purchased in the iOS app are processed by Apple and governed by Apple's billing terms; subscriptions purchased on the web are processed by Stripe.

6. Shipping and Delivery

Sellers are responsible for shipping items within the handling window stated in the listing (typically 5 business days). Sellers must use a carrier that provides scan-trackable tracking (USPS, UPS, FedEx, or DHL) and must enter the tracking number in TeeBox so the buyer can monitor delivery. Risk of loss passes to the buyer upon the carrier's confirmed delivery scan, subject to the buyer-protection terms in our Refund and Returns Policy.

7. Buyer Protection and Disputes

Buyers have 7 days from delivery to open a dispute if an item never arrived or is materially not as described. See our Refund and Returns Policy for the canonical refund window, qualifying conditions, and resolution timeline.

8. Prohibited Conduct

You agree not to use the Service in any manner prohibited by our Acceptable Use Policy, which is incorporated by reference. Without limiting that policy, you agree not to: list counterfeit or stolen merchandise; circumvent TeeBox fees by routing payment off-platform; harvest user data; transmit malware; or use the Service to harass or defraud other users.

9. Intellectual Property

The TeeBox name, logo, and website design are the property of TeeBox, Inc. You retain ownership of the photos, descriptions, and other content you upload, but you grant TeeBox a worldwide, royalty-free, non-exclusive license to host, reproduce, display, and distribute that content for the purpose of operating and promoting the Service. If you believe content on TeeBox infringes your copyright, follow the procedure in our DMCA Notice and Takedown page.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEEBOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE QUALITY, AUTHENTICITY, OR LEGALITY OF ITEMS LISTED BY SELLERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEEBOX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (a) THE FEES YOU PAID TO TEEBOX IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). TEEBOX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.

11. Indemnification

You agree to defend, indemnify, and hold harmless TeeBox, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your listings, content, or conduct; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party right.

12. Arbitration and Class-Action Waiver

Please read this section carefully — it affects your legal rights.

You and TeeBox agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration, except that either party may bring an individual claim in small-claims court if it qualifies.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, and judgment on the award may be entered in any court of competent jurisdiction. The seat of arbitration will be Cook County, Illinois, and the arbitration will be conducted in English. Each party will bear its own costs except as otherwise required by the AAA rules.

Class-action waiver. You and TeeBox agree that Disputes will be brought only in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of multiple parties.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@teeboxmarket.com with the subject line "Arbitration Opt-Out" within 30 days of first creating your TeeBox account. The notice must include your name, the email address on your account, and an unambiguous statement that you wish to opt out. Opting out does not affect any other provision of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, any judicial proceeding permitted under these Terms will be brought exclusively in the state or federal courts located in Cook County, Illinois, and the parties consent to the personal jurisdiction of those courts.

14. App Store EULA Pass-Through

If you obtained the TeeBox mobile app from the Apple App Store, the Apple Standard EULA applies in addition to these Terms; in the event of a conflict between these Terms and the Apple Standard EULA with respect to your use of the iOS app, the Apple Standard EULA controls only to the extent of the conflict. You acknowledge that Apple is not a party to these Terms and is not responsible for the Service or its content. Apple is, however, a third-party beneficiary of these Terms and may enforce them against you. The same principles apply if you obtained TeeBox from Google Play with respect to Google's terms.

15. Electronic Communications

By creating an account, you consent to receive communications from us electronically, including by email, in-app notification, or push notification. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

16. Changes to Terms

We may update these Terms from time to time. When we make a material change, we will update the "Last updated" date at the top of this page and notify users in the app or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect. If the class-action waiver in Section 12 is held unenforceable as to a particular claim, that claim (and only that claim) will be severed from the arbitration and litigated in court; the remainder of Section 12 will remain in effect.
